Terms of Service

1. Acceptance of Terms

By accessing or using RxFiler’s 340B claims submission platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (or the entity you represent) and RxFiler. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

RxFiler is a cloud-based platform that automates 340B claims submissions for Third Party Administrators (TPAs) and Covered Entities. Our Service includes:

  • Automated claim validation, formatting, and submission to BEACON, ESP, Truzo, and other 340B platforms
  • Data ingestion through API, SFTP, or EDI
  • Compliance verification and duplicate discount detection
  • Real-time status tracking and reporting
  • Integration with various 340B rebate platforms
  • Audit logs and compliance documentation

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Security Obligations

  • You must immediately notify us of any unauthorized use of your account
  • You are responsible for ensuring your organization’s compliance with HIPAA and other applicable regulations
  • You must maintain appropriate security measures for accessing the Service
  • You agree not to share your account credentials with unauthorized parties

4. Use of Service

4.1 Permitted Use

You may use the Service solely for:

  • Processing and submitting 340B claims in compliance with applicable laws and regulations
  • Managing your organization’s 340B program operations
  • Accessing reports and analytics related to your claims submissions

4.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without authorization
  • Submit false, inaccurate, or fraudulent claim data
  • Use the Service to process claims for which you do not have proper authorization

5. HIPAA Compliance and Business Associate Agreement

RxFiler is committed to HIPAA compliance. When you use our Service to process Protected Health Information (PHI), we will enter into a Business Associate Agreement (BAA) that governs our respective obligations under HIPAA.

You are responsible for ensuring that:

  • You have the legal authority to disclose PHI to RxFiler
  • All necessary patient authorizations and consents have been obtained
  • Your use of the Service complies with HIPAA and other applicable healthcare regulations
  • You maintain appropriate safeguards for PHI in your possession

6. Fees and Payment

6.1 Subscription Fees

Access to the Service requires a paid subscription. Fees are based on your selected plan and usage. All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.

6.2 Payment Terms

  • Fees are billed in advance on a monthly or annual basis
  • You must provide valid payment information and authorize automatic billing
  • We reserve the right to change our fees with 30 days’ notice
  • Failure to pay may result in suspension or termination of your account

6.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.

7. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by RxFiler or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service.

8. Data Ownership and Processing

8.1 Your Data

You retain all ownership rights to the data you submit to the Service. By using the Service, you grant RxFiler a limited license to use, process, and store your data solely for the purpose of providing the Service.

8.2 Data Processing

We process your data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring you have the right to provide all data you submit to the Service.

9. Service Availability and Modifications

While we strive to maintain high availability, we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

  • Scheduled maintenance and updates
  • Unforeseen technical issues
  • Third-party platform outages (e.g., BEACON, ESP)
  • Force majeure events

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to minimize disruption to your operations.

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that the Service will perform substantially in accordance with its documentation. However, we do not warrant that the Service will be error-free, uninterrupted, or meet all of your specific requirements.

10.2 Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

  • All claims will be accepted by third-party platforms (BEACON, ESP, etc.)
  • The Service will prevent all compliance violations or errors
  • Third-party platform APIs or requirements will remain unchanged

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RXFILER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless RxFiler, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party rights
  • Any data or content you submit to the Service

13. Termination

13.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

13.2 Termination by Us

We may suspend or terminate your access to the Service immediately if:

  • You breach these Terms
  • You fail to pay fees when due
  • You engage in fraudulent or illegal activity
  • We are required to do so by law

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will retain your data for a reasonable period as required by law or your Business Associate Agreement, after which it may be deleted.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
